FOR THE ATTENTION OF OUR MEMBERS: MANDATORY MINIMUM CAPITAL INCREASE FOR COMPANIES
With effect from 1 January 2024, the minimum capital requirements applicable to joint-stock companies and limited liability companies have been increased. Pursuant to Provisional Article 15 added to Turkish Commercial Code No. 6102, existing companies have been granted until 31 December 2026 to comply with the new minimum capital requirements.
New Minimum Capital Requirements:
- Limited Liability Companies: The minimum capital requirement has been increased from TRY 10,000 to TRY 50,000.
- Joint-Stock Companies: The minimum capital requirement has been increased from TRY 50,000 to TRY 250,000.
- Non-Public Joint-Stock Companies that Have Adopted the Registered Capital System: The initial capital must be at least TRY 500,000.
Legal Consequences:
Companies that fail to complete the required capital increase procedures by 31 December 2026 will, by operation of law and without the need for any further notification, be deemed dissolved and will enter into liquidation. Companies operating under the registered capital system will be removed from this system.
In order to avoid any disruption to our members’ commercial activities, our members are hereby strongly advised to apply to our Chamber’s Trade Registry Directorate and complete the necessary capital increase procedures before the specified deadline.
